Meeting called to order at 2 PM
We have had 8 positive responses to National Quilt Day.
Susan reviewed the proposed bylaws via screen share. She included the information that National Modern Quilt Guild and 5013C requirements and most of the information from the current by-laws.
Discussion:
*Opinions given concerning age of membership. It was agreed that minors can join the guild but must be accompanied by a parent or guardian and pay membership fees.
*Dues and Fees: If dues are not paid by March 1st, then the member will be removed from all rosters. Dues will be prorated if new members join after July 1 to a rate of 50% of annual dues.
*The board of Directors may offer a payment plan on a case by case basis for members experiencing financial difficulties.
*The board’s preference is that a member should hold no more than 2 consecutive terms in the same position. They are, however, able to serve in a different elected position. If after 2 terms, there are no other candidates, that officer may continue for another term. There are no cumulative limits to board positions. Wording will be finalized before guild vote.
*Board meetings will be held quarterly in person or electronically. 50% of members must be present to constitute a quorum for voting purposes.
*Elected Officer Positions—added to by laws’
*Privacy Statement unchanged from current bylaws
*Statement of Robert’s Rules of Order from current bylaws
*Audit statement and statement that financial reports are available to any member upon request added. It will be changed to financial review since audit is a legal term.
*Statement added that funds will not be kept in any personal account and all monies must be kept in the guild accounts and deposited timely.
*Dissolution Statement added as required by National Board
*The secretary and 2 others will sign these at the next meeting.
